Derek Closes Private Placement
| ||The Company confirms the closing of the private placement previously announced on October 31, 2007. The placement consisted of 1,100,000 units at a price of $0.35 per unit, raising proceeds of $385,000. Each unit consisted of one share and one share purchase warrant exercisable at $0.40 expiring May 15, 2009. The shares issued as part of this unit offering and any shares acquired on exercise of the warrants are subject to a four month restriction on re-sale. This hold period expires March 16, 2008. Finder fees of 35,000 units, on the same terms as the units in the placement, were paid to qualified finders with respect to this placement.|
